The 2026 Finance Act reduces the rate of registration duty applicable to certain transfers of shares or corporate units linked to real estate companies. DGI circular note no. 737 confirms the scope and effective date of this measure.
What is changing
The rate is reduced from 6% to 5% for transfers, whether for consideration or free of charge, of shares or units in transparent real estate companies referred to in article 3-3° of the General Tax Code and in predominantly real estate companies referred to in article 61-II.
The new rate applies to deeds and agreements registered on or after 1 January 2026.
Who is concerned?
The measure is of interest to shareholders, investors and groups holding real estate assets through a company. The company's tax classification remains decisive: the mere presence of a property among the assets is not necessarily sufficient to conclude that the company is predominantly real estate, and the analysis must be carried out against the criteria of the General Tax Code.
In practice
Before a transfer, it is advisable to check the composition of the assets, the classification of the company, the value and nature of the securities transferred, and whether the transaction is for consideration or free of charge. The one-point reduction concerns the registration duty; it does not exhaust the other tax consequences of the transfer, in particular the taxation of any capital gain.
